Starting Smart: Legal & Structural Steps for Company Formation

This morning we were delighted to host a webinar session on Legal
& Structural Steps for Company Formation in partnership with our Member Cliffe Dekker Hofmeyr Inc. The session was led by Alex M. Muchira, Corporate & Commercial Law Partner at CDH Kenya.

The session provided a practical breakdown of entity types, compliance obligations and regulatory nuances every entrepreneur and investor should know.

Key takeaways:
Kenya’s legal framework offers multiple business structures ranging from sole proprietorships and partnerships to LLPs, private and public companies, branches of foreign entities, trusts, and public benefit organizations.
The ideal vehicle depends on your business model, liability concerns, capital needs, and whether you're seeking local or foreign investment.

Each structure has its own legal and compliance obligations including annual returns, beneficial ownership disclosure, tax registration (KRA PIN), and county-level permits.
Businesses in regulated sectors (e.g. finance, healthcare, ICT, education) require additional approvals from relevant authorities.

Government-led reforms like digital company registration, SEZ/EPZ incentives and the Nairobi International Financial Centre are making Kenya increasingly attractive for local and international investors.

A big thank you to our Speaker, Alex Muchira for his invaluable insights and to our Members and Partners for your active participation that truly made the webinar interactive and informative.
